About Me


As an arbitrator and mediator, I bring a combination ofpractical and judicial experience.

As a securities and M&A lawyer at Torys, I lead numeroustransactions involving acquisitions, divestitures, takeover bids, proxy fights,shareholder disputes, bank lending and structured finance transactions, publicsecurities issues including IPOs, and private placements. While thetransactions covered a wide range of industries, I had particular experience inmining transactions, oil and gas companies, financial institutions and realestate development.

I also had considerable experience in the area ofcorporate governance as a result of my involvement as a member of the NorthAmerican executive team of Centrica Plc and my board memberships.

As a judge sitting on the Commercial List, I dealt with anequally wide range of matters involving shareholder disputes, contestedacquisition transactions, contractual disputes, insolvencies, receiverships andrestructurings including the Stelco reorganization. In addition, I hadconsiderable exposure to larger estate-related matters involvinginter-generational disputes pertaining to large private corporations. Whileadjudication was inevitably a large part of a judge’s function in these areas,formal and informal mediation was also important. As a member of the DivisionalCourt and an ex officio member of the Court of Appeal on several occasions, Ialso dealt with appellate matters involving a broad range of legal issuesincluding constitutional law, professional regulation, labour and employmentlaw, insurance, administrative law and family law.

In addition, the Red Hill Valley Inquiry, for which I actedas the Commissioner, involved considerable involvement in engineering andconstruction matters in the context of Ontario highways. The Inquiry, as wellas my time as the Policy Advisor to a senior cabinet minister of the Provinceof Ontario, also involved considerable exposure to governmental practice at theprovincial and municipal levels.
